Randal H. Drew is the President and CEO of V3 Capital Strategies. Mr. Drew is a highly skilled business executive with an established track record of leading high-performance companies and creating shareholder value. Mr. Drew's experiences led to the creation of the comprehensive V3 system for developing a customer-focused - process-driven, high-performing company.

Mr. Drew has extensive experience leading and advising public and privately held businesses in diverse industries. He served as President and CEO of an entertainment company with operations in nine states and three countries, as Senior Vice President for Business Development for a Fortune 500 Company, and as President of a NASDAQ-listed media company. Mr. Drew was also an Equity Partner with a large international law firm. His legal practice included mergers and acquisitions, development of complex projects, restructuring and leading the turnaround of troubled companies, representation of the FSLIC, RTC, and FDIC, commercial litigation, securities litigation, entertainment, and intellectual property.

Mr. Drew has been praised by his clients and business associates for having a unique ability to analyze and solve complex business issues, develop business processes to ensure the consistent delivery of excellent services and products, build consensus in and negotiate successful mergers and acquisitions, and develop winning strategies for closing transactions and building shareholder value. Mr. Drew has led companies through start-ups, rapid growth, new operations development, mergers, acquisitions, and turnarounds throughout his career. He has developed and implemented systems and business processes for excellence and winning exit strategies.

Representative Experiences

Under his leadership, as the President and CEO of an entertainment company, revenues grew from less than $3 million to over $100 million in 18 months. During its first three years of operation, when other industry leaders reported diminished attendance and declining revenues, the company experienced same-store earnings growth of over 7% CAGR and reduced expenses by 3% CAGR. Leading the company of over 5,000 employees, with operations in nine states and three countries, Mr. Drew developed and instituted N-Ovation University for management training. He developed the company into a strong customer-focused business process entity and employed technology and business processes to provide real-time and predictive management reporting. During the formation and growth of the company, Mr. Drew negotiated and closed transactions of more than $100 million, grew the company to the 10th largest such company in the world, and produced growth in shareholder value exceeding $40 million.

Mr. Drew was Senior Vice President for Business Development for a Fortune 500 Company. In this capacity, he led the formation of an acquisition and development qualification and selection process. He oversaw mergers, acquisitions, and developments, including conducting the due diligence, negotiations, transaction and financing structures, and closing of transactions in excess of $300 million. During this time, the company's stock price climbed to a three-year high.  He also managed a large-scale $110 million development, negotiated and structured the design-build contract, negotiated zoning and special use permits, negotiated and structured the financing, oversaw the construction and change orders, and successfully opened the project on time and within budget. He also served on the senior management team responsible for executing a mandated Goldman Sachs auction to sell three operating divisions. As part of Goldman Sachs' process, he wrote the selling memorandum, oversaw the organization of the data room and preparation of the disclosure memorandum, made the management presentations, and negotiated and closed the sale of one of the divisions. Mr. Drew also participated in a successful buy-side representation within a Goldman Sachs' auction.

Mr. Drew also created a start-up media company, which grew rapidly under his leadership. He wrote and executed the business plan and developed business processes and systems for the graphic creation, manufacturing, and fulfillment of diverse media. He also implemented a real-time manufacturing cost and financial reporting package. The company more than doubled its size each year, quickly becoming an innovator in its industry and a leader within its market. Mr. Drew led the company through two rounds of capital raises to support its growth and ultimately merged it into a NASDAQ-listed company. Mr. Drew then became the President of the NASDAQ parent company.

Mr. Drew served as an equity partner in a large international law firm where he was a member of the Business and Litigation Departments. He led the Entertainment and Sports Law Team, the Attractions and Parks Team, and served on the Intellectual Property and Bankruptcy and Restructuring Teams. Mr. Drew's legal practice included extensive representation of companies within the entertainment industry, high growth companies, and representation of the FSLIC, FDIC, and RTC in the closure and restructuring of financial institutions and restructuring of small and middle market companies in almost all segments, including the technology, contracting, distribution, service, manufacturing, and non-profit segments. He also represented several national broker-dealers in securities arbitration and handled numerous securities litigation matters.

Mr. Drew has extensive turnaround and restructuring experience, including more than 100 restructuring engagements. These restructuring and turnaround engagements include formal bankruptcy restructurings, informal restructurings, litigation in support of restructuring efforts, renegotiation of contractual obligations in support of restructurings, capital raise and debt restructuring, loan analysis and forensic review of the loan transaction, fraud investigation and prosecution (civil), and repossession and liquidation.

He received his Bachelor of Science degree from Florida State University, with majors in Finance and Business Administration. While attending school, he was elected Student Body President. Mr. Drew received his Juris Doctorate law degree from the University of Florida, where he was a member of the Florida Law Review, the Trial Competition Team, and Florida Blue Key, elected Chancellor of the Honor Court, and inducted into the University of Florida Hall of Fame.

Mr. Drew is a member of the Florida Bar, the United States District Court for the Middle District of Florida, and the Eleventh Circuit Court of Appeals. He is listed in Who's Who in Executives and Professionals and has received numerous leadership awards. Mr. Drew also serves as President of Entertainment Finance Corporation, Angel Investors, LLC, and Condor Investment Capital, LLC.

The System

Mr. Drew's experiences in creating shareholder value have led to the development of the V3 system for developing high-performance companies. This system's core is that each successful business must be customer-focused and process-driven. Mr. Drew intensely focuses on business fundamentals, leadership development, and business process integration.  In each engagement, he conducts management interviews and analyses management leadership, analysis of workflow and business processes, detailed financial review, competitive analysis, and market analysis. From this detailed business analysis, he develops a SWOT analysis and detailed business plan. Depending on the requirements of the company, he structures the proper debt and capital, restructures debt and contractual obligations, aligns the workforce and operation centers (or plants), assists in raising the "correct capital" and developing strategic alliances and financial sponsorships, and plans the path to an ideal exit. Through this comprehensive approach, the companies Mr. Drew and the V3 Capital Strategies Team represent and those he has led have successfully created great shareholder value.
